These Terms and Conditions ("Terms") govern your use of the Indy Elevate website located at indyelevate.com and any services provided by Indy Elevate ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.
Services
Indy Elevate provides web design, web development, and digital strategy services primarily for Indiana-based businesses. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate project agreement, proposal, or invoice provided to you before work begins.
We reserve the right to refuse service to anyone for any reason at any time.
Use of Our Website
By using this website, you agree that you will not:
- Use the site for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the site or its related systems.
- Transmit any harmful, offensive, or disruptive content through our contact forms or communications.
- Copy, reproduce, or redistribute any content from this site without our prior written consent.
- Use any automated tools, bots, or scrapers to extract data from this website.
We reserve the right to terminate access to our website for anyone found to be in violation of these terms.
Project Agreements & Payments
Proposals & Scope
All projects begin with a written proposal or service agreement that outlines the scope of work, pricing, timeline, and any other relevant details. Work will not commence until the proposal is accepted and any required deposit is received.
Deposits & Payment Schedule
A deposit (typically 50% of the total project cost) is required before project work begins. The remaining balance is due upon project completion or as outlined in your individual agreement. Indy Elevate reserves the right to pause work on any project where payments are overdue.
Late Payments
Invoices not paid within 15 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. Continued non-payment may result in work being suspended or the project agreement being terminated.
Refunds
All deposits are non-refundable once work has commenced. If a project is cancelled by the client after work has begun, payment is due for all work completed to date. Refund eligibility for any unused portion will be assessed on a case-by-case basis.
Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate, complete, and timely feedback, content, and materials as needed.
- Designate a primary point of contact who has authority to approve decisions on behalf of the business.
- Respond to requests for feedback or approvals within a reasonable timeframe (typically 5 business days). Delays caused by the client may affect the project timeline.
- Ensure that any content, images, or materials provided to Indy Elevate do not infringe on any third-party intellectual property rights.
Intellectual Property
Our Content
All content on the Indy Elevate website — including text, graphics, logos, and design elements — is the intellectual property of Indy Elevate and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Client Deliverables
Upon receipt of full payment, ownership of the final website design and custom code created for your project transfers to you, the client. Indy Elevate retains the right to display the completed work in our portfolio and marketing materials unless otherwise agreed in writing.
Third-Party Assets
Any third-party fonts, stock images, plugins, or themes used in a project are subject to their own respective licenses. Indy Elevate will inform you of any assets that require a separate license or ongoing subscription.
Revisions & Change Requests
Each project includes a set number of revision rounds as specified in your project proposal. Revisions are defined as minor adjustments to approved work — they do not include changes to the original project scope or direction.
Requests that fall outside the agreed scope will be treated as change requests and may be subject to additional fees and timeline adjustments. We will always communicate any additional costs before proceeding with out-of-scope work.
Third-Party Platforms & Tools
Our services may involve building on or integrating with third-party platforms such as Squarespace, Google, or other software providers. Indy Elevate is not responsible for outages, policy changes, pricing changes, or other actions taken by these platforms.
Ongoing platform subscription costs (e.g., Squarespace plans, domain registration, stock photo licensing) are the responsibility of the client unless explicitly included in a service agreement.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the project. Indy Elevate will not share your business strategy, financials, or proprietary information with third parties without your consent, except as required by law.
Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis. Indy Elevate makes no warranties, expressed or implied, regarding the accuracy, reliability, or fitness for a particular purpose of any content or service provided.
We do not guarantee specific business results, search engine rankings, or revenue outcomes from any website or digital service we deliver. Results depend on many factors outside our control.
Limitation of Liability
To the fullest extent permitted by law, Indy Elevate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services — including but not limited to loss of revenue, lost data, or business interruption.
Our total liability to you for any claim arising from or related to our services shall not exceed the total amount paid by you to Indy Elevate in the three (3) months preceding the claim.
Indy Elevate's total liability shall not exceed the fees paid for the specific project or service giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Indy Elevate and its team members from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our services, your breach of these Terms, or any content you provide to us that infringes on the rights of a third party.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the courts located in Marion County, Indiana.
Termination
Either party may terminate a project or service agreement with written notice. Upon termination:
- The client is responsible for payment of all work completed up to the termination date.
- Indy Elevate will deliver all completed work files to the client upon receipt of final payment.
- Any non-refundable deposits will be retained by Indy Elevate.
Indy Elevate reserves the right to immediately terminate service in cases of abusive conduct, non-payment, or violation of these Terms.
Changes to These Terms
We may update these Terms from time to time. When changes are made, we will update the "Last Updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
